1. General

The Terms shall also govern the use of the Service, site, content and software (collectively the "Service") of the websites of Stala and the websites hosted on these sites. 

Use of certain websites and Services may be subject to additional terms of use. Stala online Services’ refers to all Services owned by Stala that operate via the Internet. These include, for example, websites, applications, forms, Web magazines, software, and other functions connected to the Stala websites.. Use of any Stala online Services is subject to acceptance of the Terms of Use of Stala websites. By registering for or using the Service or any portion of it you accept the Terms. If you do not agree with these Terms, we expect you to leave our websites.

These Terms constitute an agreement between you and Stala Oy, Taivalkatu 7, Lahti, 15170, Finland including its possible affiliates and suppliers (collectively “Stala”) defining your and Stala’s rights and responsibilities with respect to the Service.

2. Use of Stala websites

To use the Service, you must be at least eighteen (18 ) years of age. If you are under eighteen (18) years of age, you must have your parent or legal guardian accept your registration on your behalf and approve your use of the Service. Anyone completing the registration must be legally competent.

Copying, transfer, distribution or saving content either in full or in part without the written prior permission of Stala is prohibited. You are entitled to use parts of the Stala websites for private, non-commercial use provided that the reputation or business of Stala is not damaged and that any copies or printouts made for your private use contain all copyright information and other such proprietary information, notices or disclaimers. Alteration of website content or use of the content for any purpose other than that for which it was originally intended is prohibited.

To use some parts of the Service you may need to register and create a Stala account with username and a password. You may need to provide us with certain personal and other information. Stala may verify your email address before the account can be used. Upon first use of your device, and each time you update the Stala device software, a text message will be sent to Stala. The creation of a Stala account will require data transmission. Data transmission costs may apply.

You agree to provide truthful and complete information when you register for the Service and to keep that information updated. You must take due care to protect your username and password against misuse by others and promptly notify Stala about any misuse. You, and your parent or legal guardian if you are a minor, are personally responsible for any use of the Service.

You may terminate your registration if you no longer wish to use the Service. After termination, you may not have access to the Service or certain parts of it. Stala may terminate your registration or restrict your access to certain parts of the Service if Stala reasonably believes that you have breached the Terms or with prior notice if you have not signed into the Service with your username in the past six (6) months.

Stala is not responsible for any removal or loss of the information or content you have submitted to the Service. When information or content is removed from the Service by either you or Stala, traces or copies may still remain elsewhere.

3. Unauthorised use

By using the Stala websites, you agree not to submit to the sites any material that may infringe the intellectual property rights of any third party or to use the Services for any illegal, defamatory, derogatory or offensive purposes. You agree also to use the websites in a manner that does not damage or interfere with their operation or any of their contents.

The content of the Stala websites are owned by Stala. All Stala web pages and their contents are protected by copyright law and international agreements. The intellectual property rights to software located on the websites belong to Stala or our suppliers. Stala reserves all rights to the content of its websites worldwide. Stala grants you a non-exclusive, non-transferable license, revocable at any time at Stala`s sole discretion, to access and use the Service strictly in accordance with the Terms.

5. Legal disclaimer

Stala online Services and all their contents are provided "as is" without any warranties regarding the accuracy or reliability of the pages or their content. For the avoidance of doubt it is agreed between you and Stala that Stala is not responsible for the accuracy or correctness of the information given by third parties to the website of Stala or any other contents of the Services (including but not limited to the price of nickel). Stala reserves the right to revise the Terms of Use of Stala websites and to make changes to the content of its websites or to the Services provided through them. Stala also reserves the right to limit access to its online Services or to make technical and functional changes or to interrupt or discontinue its websites without prior warning. Stala takes no liability whatsoever for any changes, interruption or discontinuance of its online Services. Stala is entitled but not obligated to monitor the material contained on the Stala websites and to remove, move or comment on this material if we consider it to be in violation of the law, good practice, or these Terms of Use. You accept that Stala reserves the right to make such alterations and that it is your responsibility to regularly check the Terms of Use for possible changes.

6. Limitation of liability

Stala accepts no liability for the qualitative properties or fitness for purpose of Stala online Service websites. Stala is not liable for any disturbance or interruption of its websites or any of their functions. Stala accepts no liability whatsoever for any direct, indirect or consequential damages, costs or loss of earnings related to the use or the possibility of use of its websites.

Stala makes no warranty or representation regarding the availability, accuracy, faultlessness, reliability or content of its online Services or for the fitness for business use or for any other purpose of use of their content. Stala is not liable for any direct, indirect, incidental, special or consequential damages, loss of profit, or interruption of business caused by any of the Services provided via its websites or by the interruption of such a Service even if Stala is informed of such damages or of the possibility of such damages.

Stala is not liable in any way for any direct, indirect, incidental, special, consequential, punitive or any other damages, costs or loss of profit caused by the use or attempted use of its Services, or by browsing the Stala online Services or any sites linked to these, or by any inability to use the content of the Services, or due to a fault, interruption, mistake, delay, virus or system error in their functioning or transmission, even if Stala or its representatives are informed of the possibility of such damages, losses or costs.

Stala is not liable for any information or material provided by third parties via sites linked to Stala online Services or for content produced by third parties. Stala’s websites may contain links to external websites. Stala does not actively monitor the content of such websites, nor is it responsible for any information, link functionality, contents or products offered through these sites and does not represent these websites in any way. Stala is not liable for the actions of other Service providers. When accessing third party websites, you will look over and accept the rules of use of said sites before using them. You will also accept that Stala has no control over the content of said sites and cannot assume any responsibility for the material created or published by third party websites. Additionally, the existence of links to third party websites not operated by Stala does not imply that Stala endorses the products or Services offered on those sites. Access to and use of third-party websites is exclusively at your own responsibility.

You agree to defend and indemnify Stala from and against all third party claims and all liabilities, assessments, losses, costs or damages resulting from or arising out of (i) your breach of the Terms, (ii) your infringement or violation of any intellectual property rights, other rights or privacy of a third party, or (iii) misuse of the Service by a third party where the misuse was made possible by your failure to take reasonable measures to protect your username and password against misuse.

7. Content provided by the user to Stala

Stala welcomes your feedback and suggestions and uses these to develop and improve its Services. In providing feedback and suggestions you grant to Stala unlimited royalty-free rights to the material that you provide. Stala is thus not liable to pay any compensation for any of the feedback or suggestion material that it uses.

By providing material related to our online Services to the Stala server, for example via e-mail or our online Services, you agree to the following terms and conditions:
(a) the material that you submit is not confidential or proprietary and is owned by you and/or you have the unlimited right to submit the material to Stala; (b) Stala has a right to publish the submitted material as-is or in modified form free of charge; (c) you are liable for the fitness for publication of any material that you submit and that  the material does not contain anything that is unlawful or otherwise unfit for publication; (d) you agree to indemnify us if any third party takes action against Stala in relation to the material you submit; (e) you agree not to take action against Stala in relation to material that you submit; (f) Stala may publish the submitted material wholly or in part free of charge and without accountability or liability; (g) you have used reasonable efforts to remove any viruses or other contaminating or destructive features before submitting the material to Stala; and (h) Stala reserves the right to move or remove any material submitted to Stala at any time and for any reason.

8. Availability and location sharing

You may use features in the Service to share your location, status, content, Materials or personal information or to interact with other users, sites and services. By using these features you agree that Stala may use and provide that information to other services and persons with whom you choose to interact or share this information. Users of these services and persons, such as your contacts, may see your location, status and/or personal information. In using these features you agree not to share information, Content or Material or to link to any service or site that: (a) contains content or other material that is illegal or inappropriate; or (b) exploits intellectual property rights without authorisation or encourages users to piracy. Any interaction does not involve Stala and is solely between you and the other user(s).

STALA PRIVACY POLICY

Personal information may be collected inter alia in connection with marketing campaigns for direct marketing purposes as permitted under the Personal Data Act (523/99).

10. Other terms and conditions

10.1 Applicable Law: These Terms are governed by the Laws of Finland without regard to its conflicts of law provisions.

10.2. Dispute resolution:  Any disputes concerning these Terms or the use of Services shall be settled by the District Court of Päijät-Häme in accordance with Finnish law.

10.3. Assignment:  Stala may assign its rights and obligations under these Terms to its corporate parent, its subsidiaries, or to any company under common control with Stala. Additionally, Stala may assign its rights and obligations under these Terms to a third party in connection with a merger, acquisition, sale of assets, by operation of law or otherwise.
